JMART Completes the Private Placement to VGI and U, Sukumvitaya Remains Top Shareholders
JMART completed the sale of newly issued ordinary shares to VGI and U while Sukumvitaya Family remained as major shareholders.
JMART has announced that the company has completed the sale of newly issued ordinary shares to VGI Public Company Limited and U City Public Company Limited on December 7, 2021.
The company stated that the Extraordinary General Meeting of Shareholders No. 2/2021 of Jaymart Public Company Limited (SET: JMART), which was held on Monday, 1st November 2021, resolved to approve the capital increase of the company including the allocation of 342,361,387 newly issued ordinary shares each at a par value of 1.00 Baht to the following Private Placement investors at a definitive offering price of 30.3370 Baht per share, totaling no less than 10,386,217,397.42 Baht, which are 206,241,800 newly issued ordinary shares to be allocated to VGI Public Company Limited and 136,119,587 newly issued ordinary shares to be allocated to U City Public Company Limited.
In this regard, JMART announced that today (7 December 2021), the company has completely offered for sale of newly issued ordinary shares to the Private Placement investors and has completely registered the increase in the company’s paid-up capital of 342,361,387 Baht from 1,039,852,381 Baht to 1,382,213,768 Baht with the Department of Business Development, the Ministry of Commerce.
After the allocation of newly issued ordinary shares in the company under the Private Placement, VGI Public Company Limited will hold 14.92% of shareholding in JMART while U City Public Company Limited will hold 9.85%. In the meantime, three of JMART’s shareholders, the Sukumvitaya Family, including Mr. Adisak Sukumvitaya, Mr. Ekachai Sukumvitaya and Ms. Jutamas Sukumvitaya will combine for a shareholding stake of 26.75%.
