GRAMMY Completes the ฿539MN Deal to Acquire Nearly 10% of KISS’s Shares

GMM Grammy Public Company Limited (GRAMMY) announced that the company considered the fundamental factors of KISS, including the future plans and environment of SET Index, therefore considered it appropriate to exercise the rights to purchase 59,940,000 shares of KISS, or equivalent to 9.99 percent of KISS’s total shares at KISS’s initial public offering price of THB 9.00 per share as agreed upon, totaling value is approximately THB 539.46 million from Aurora Asia Holdings Pte. Ltd. (AAH) and Ms. Piyawadee Sonsingh on June 10, 2021, had completely fulfilled.

 

Reference is made to the fact that, GRAMMY informed the Stock Exchange of Thailand (SET) on the Acquisition of Assets of the company regarding the right to purchase shares of Rojukiss International Public Company Limited (KISS) with condition. As the Board of Director’s Meeting No. 2/2021 on February 25, 2021 had the resolution to approve the company to enter into the asset acquisition transaction in respect to the company’s attainment of the right to purchase KISS ‘s shares from AAH and Ms. Piyawadee Sonsingh in a total amount of not exceeding 59,940,000 shares or equivalent to not exceeding 9.99 percent of KISS’s total shares at KISS’s initial public offering price of THB 9.00 per share (the IPO Price), totaling to not exceeding THB 539.46 million and such right will expire on July 7, 2021.
